Terms of Service

1. Acceptance of terms
These Terms of Service ("Terms") govern your access to and use of the Tessera platform, websites, and mobile applications (collectively, the "Services") provided by Veritech Supply LLC ("Tessera", "we", "us"). By accessing or using the Services, you agree to be bound by these Terms.
2. Accounts & eligibility
You must be authorized to act on behalf of your organization to create an account. You are responsible for safeguarding credentials and for all activity under your account. Notify us promptly of any unauthorized use.
3. Acceptable use
You agree not to misuse the Services, including by attempting to access them by means other than the interfaces we provide, interfering with their operation, or using them to violate any law or third-party right.
4. Your data & evidence records
You retain all rights to the data and evidence records you create through the Services ("Customer Data"). You grant us a limited license to host, process, and display Customer Data solely to provide and improve the Services. Sealed evidence records are append-only by design and are retained per your plan and applicable law.
5. Availability & support
We strive to keep the Services available and secure, but they are provided on a commercially reasonable basis. Specific availability commitments, if any, are set out in your order form or master agreement.
6. Fees
Paid plans are billed per facility as described on your order form. Fees are non-refundable except as required by law or expressly stated. Pilots are provided at no charge for the stated period.
7. Intellectual property
The Services, including all software, design, and trademarks, are owned by Tessera and its licensors. These Terms grant you no rights to our intellectual property except the limited right to use the Services.
8. Disclaimers
Except as expressly stated, the Services are provided "as is" without warranties of any kind. Tessera does not warrant that the Services will meet every regulatory requirement applicable to your operations; you remain responsible for your own compliance.
9. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential damages. Our aggregate liability is limited to the fees paid for the Services in the twelve months preceding the claim.
10. Term & termination
These Terms apply while you use the Services. Either party may terminate per the order form. On termination you may export your Customer Data for a reasonable period, after which we may delete it per our retention schedule.
11. Changes
We may update these Terms from time to time. Material changes will be notified through the Services or by email. Continued use after changes take effect constitutes acceptance.
12. Governing law
These Terms are governed by the laws of the jurisdiction in which Veritech Supply LLC is organized, without regard to conflict-of-laws rules, unless otherwise required by your master agreement.
